Brand–Influencer Collaboration Agreement

Parties

(Brand and Influencer together will be referred to as "Parties".)

1. PURPOSE

This agreement determines the procedures and principles regarding the Influencer's content production, publication and/or promotional activities on behalf of the Brand.

2. SCOPE OF SERVICE

The Influencer will promote the products/services determined by the Brand in the following way:

• Social media platforms: [Instagram/TikTok/YouTube etc.]
• Content type: [Reels/Story/Post/Video etc.]
• Publication count and dates: [Date–Date]
• Hashtag, tagging and link usage: [List]

3. DURATION

This agreement becomes effective from the signature date and is valid for [xx] days/period. Extension of the period is possible with written approval.

4. COMPENSATION AND PAYMENT

• Total amount to be paid to Influencer: [Amount + Currency]
• Payment method: [Bank transfer / Payment through platform]
• Payment time: [After content publication / After invoicing]
• Invoice preparation obligation is made according to the tax legislation of the country where the Brand or Influencer is located.

5. COPYRIGHT AND USAGE RIGHTS

• Copyright of content produced by the Influencer is transferred to the Brand exclusively/non-exclusively for [xx] years from the publication date.
• The Brand can use these contents in digital media, social media, website and advertising campaigns.
• Contents cannot be sold or transferred to third parties (unless there is written agreement to the contrary).

6. CONFIDENTIALITY

• Parties keep confidential the trade secrets, campaign details and information not yet disclosed to the public that they learn during the collaboration process.
• This obligation continues for 2 more years after the end of the agreement.

8. TERMINATION

• If one of the parties violates the provisions of the agreement, the other party can terminate the agreement by sending a written warning within 7 days.
• Termination is possible in case of force majeure or mutual agreement of the parties.

9. LIABILITIES AND COMPENSATION

• Parties are responsible for the damages they cause to third parties due to their own faults.
• In case of copyright, trademark or personality right violation, the relevant party assumes all responsibility.

10. DISPUTES

• For campaigns in Turkey: Istanbul Central Courts and Execution Offices,
• For UK and other countries: London Courts (UK) are authorized.

11. EFFECTIVENESS

This agreement was prepared in three copies on [Date] and signed by the Parties.
